I run a portfolio of 7- and 8-figure digital agencies and online businesses (marketing, SaaS, coaching, e-commerce) that regularly sign client contracts, affiliate agreements, contractor/freelancer MSAs, partnership deals, and vendor contracts.

I am seeking an experienced Legal Operations & Contracts Manager (paralegal or attorney-level) to own all contract lifecycle management — drafting, reviewing, negotiating, redlining, storage, and compliance tracking — while keeping everything airtight and business-friendly.

This is a high-trust role with full visibility into deals and direct impact on revenue protection.

Responsibilities


Draft and customize client MSAs, SOWs, and service agreements

Review and redline inbound contracts (client, vendor, partner)

Negotiate terms (payment schedules, scope, IP ownership, termination, liability caps)

Manage contractor/freelancer agreements and NDAs

Maintain contract database and renewal calendar (Ironclad, DocuSign CLM, or Notion)

Flag risks and recommend business-friendly alternatives

Coordinate with external counsel when needed

Create contract templates and playbooks

Ensure GDPR/CCPA-compliant data processing addendums

Quarterly legal ops audit and reporting


Required Skills


8+ years in legal ops, contracts management, or paralegal role for digital agencies/online businesses

Expert in contract drafting and negotiation (US law focus)

Deep knowledge of IP, liability, payment terms, and scope creep protection

Familiar with tools: DocuSign, HelloSign, PandaDoc, Ironclad, or similar

Exceptional written English and attention to detail


Nice to Have


Located in Philippines, Pakistan, India, LATAM, or Eastern Europe (4–6 hrs overlap with US time zones)

Licensed attorney or certified paralegal

Experience with marketing agency contracts, affiliate agreements, SaaS TS&Cs

Background in FTC compliance for advertising claims


Weekly Commitment


20–30 hours per week (mostly async, some live negotiation support)

Working Schedule

Flexible with strong overlap with US time zones for negotiation calls.

Payment Structure


Standard – $2,400/month (20 hrs/week, drafting + reviews)

Senior – $3,200/month (25 hrs/week, includes negotiation + vendor contracts)

Lead – $4,100/month (30 hrs/week, full lifecycle ownership + playbook creation + counsel liaison)

Paid on the 1st and 15th via Wise or PayPal.
